Terms of Service

These Terms of Service ("Terms") govern your access to and use of the PrivQC platform, including the merchant dashboard, embeddable widget, and all related APIs and services (collectively, the "Service"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Definitions

"PrivQC", "we", "us", or "our" refers to PrivQC Inc., a company incorporated under the laws of Québec. "Merchant" or "you" means the business or individual who creates a PrivQC account. "Data Subject" means an individual who submits a privacy request through a Merchant's embedded widget. "Personal Information" has the meaning given under An Act to modernize legislative provisions as regards the protection of personal information (Law 25 / Loi 25).

2. Eligibility

The Service is intended for businesses and individuals operating in Québec or otherwise subject to Law 25. You must be at least 18 years of age and have authority to bind your organization to these Terms. By using the Service, you represent and warrant that you meet these requirements.

3. Account Registration

You must provide accurate, complete, and up-to-date information when registering. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately at contact@privqc.ca if you suspect unauthorized access. We reserve the right to suspend or terminate accounts that provide false information or violate these Terms.

4. Permitted Use

You may use the Service solely to manage your obligations under Law 25, including receiving, tracking, and fulfilling data subject access and portability requests. You may not: (a) resell or sublicense the Service; (b) use the Service to process data for any purpose other than Law 25 compliance; (c) reverse-engineer, decompile, or disassemble any part of the Service; (d) use the Service in any way that violates applicable law or regulations.

5. Data Processing

As between PrivQC and you, you remain the data controller (responsable du traitement) for personal information collected from your customers through the widget. PrivQC acts as a service provider (sous-traitant) and processes that information solely on your documented instructions. Each party agrees to comply with Law 25 with respect to their respective roles. Our Privacy Policy describes how we handle Merchant account data.

6. Fees and Payment

PrivQC may offer free and paid tiers. Fees for paid plans are as set out on our pricing page. All fees are in Canadian dollars and are non-refundable except as expressly stated. We reserve the right to change pricing upon 30 days' written notice. Continued use of the Service after a price change constitutes your acceptance of the new pricing.

7. Intellectual Property

All right, title, and interest in the Service, including all software, designs, trademarks, and documentation, is and remains the exclusive property of PrivQC Inc. These Terms do not grant you any ownership rights in the Service. You retain ownership of your own data uploaded to or generated through the Service.

8. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the Service, and to use such information solely for the purpose of performing obligations under these Terms. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. PRIVQC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. NOTHING IN THE SERVICE CONSTITUTES LEGAL ADVICE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PRIVQC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE OR THESE TERMS. IN NO EVENT WILL PRIVQC'S TOTAL AGGREGATE LIABILITY EXCEED THE FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless PrivQC Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service in violation of these Terms; (b) your violation of any Law 25 or other privacy law obligation; (c) your infringement of any third-party right.

12. Term and Termination

These Terms are effective upon your first use of the Service and continue until terminated. Either party may terminate at any time by written notice. Upon termination, your right to use the Service ceases immediately. We will provide you with a reasonable opportunity to export your data before deletion. Sections 7, 9, 10, 11, and 13 survive any termination.

13. Governing Law and Disputes

These Terms are governed by the laws of the Province of Québec and the applicable laws of Canada, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms shall be submitted to the exclusive jurisdiction of the courts located in Québec, Québec. Before initiating formal proceedings, both parties agree to attempt to resolve disputes in good faith through direct negotiation for at least 30 days.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you by email or by posting a notice in the dashboard at least 14 days before material changes take effect. Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the changes.
